Additionally, the board approved the transfer of its Section 8 wholly-owned subsidiary, India Infoline Foundation, to group entity IIFL Finance Limited for a consideration of ₹10,000 on an arm’s length basis.

The board meeting commenced at 5:30 p.m. (IST) and concluded at 6:15 p.m. (IST). IIFL Securities Services IFSC Limited has not commenced any business operations since its incorporation and had nil revenue and a net worth of ₹ (2.09) lakh as of March 31, 2026. India Infoline Foundation is a Section 8 non-profit company limited by guarantee without share capital and carries on no commercial activities, so its financial statements are not consolidated. The transfer of the foundation to IIFL Finance Limited is a related party transaction outside of a Scheme of Arrangement.

IIFL Capital Services Limited (formerly IIFL Securities Limited) is a premier Indian financial services firm providing retail and institutional equities broking, financial advisory, investment banking, portfolio management, and wealth management solutions. In recent updates, the company incorporated a new wholly-owned subsidiary in Singapore to expand international operations. Prominent institutional investors holding significant shares in the company include Bank Muscat India Fund, HWIC Asia Fund Class A Shares, and Theleme India Master Fund Limited.

During the financial results declared for Q1 FY 2025-26, IIFL Capital Services Limited reported a total income of ₹680.40 Crore and a Net Profit of ₹175.54 Crore. In the preceding quarter (Q4 FY 2024-25), the company recorded revenue of ₹704.36 Crore and a profit of ₹180.60 Crore. In the corresponding quarter of the previous year (Q1 FY 2024-25), revenue stood at ₹643.80 Crore while Net Profit was ₹182.28 Crore. Revenue saw a quarter-on-quarter decrease of 3.4% and a year-on-year increase of 5.7%. Net profit declined by 2.8% QoQ and 3.7% YoY.
