Amber Enterprises India Limited has formally intimated stock exchanges that IL JIN Electronics (India) Private Limited, its material subsidiary, successfully completed the allotment of 30,49,12,000 equity shares via a bonus issue on August 17, 2026. Prior to this bonus issuance, IL JIN executed a stock sub-division, splitting its equity shares from a face value of ₹10 each down to ₹5 each.
Following the sub-division and subsequent bonus share distribution, Amber Enterprises was allotted 30,49,12,000 additional equity shares. Consequently, Amber’s total holding in the subsidiary expanded from 1,21,96,480 pre-bonus equity shares to 31,71,08,480 post-bonus equity shares. Because the bonus shares were issued proportionately across all existing shareholders, Amber Enterprises’ overall percentage of shareholding and control in IL JIN remains completely unchanged at 89.71%. The transaction carries no cash consideration or share swap, and has been classified as an arm’s length transaction exempt from related party definitions under SEBI regulations.
Operating primarily within the electronics industry, IL JIN Electronics (India) Private Limited functions as a leading provider of high-precision Electronics Manufacturing Services (EMS), catering to diverse verticals including automotive, smart electronics, consumer durables, telecom, healthcare, industrial, renewable energy, aerospace, and defence. In recent corporate updates from 2025 and 2026, Amber Enterprises has significantly scaled its manufacturing footprint, including major investments in Uttar Pradesh and strategic collaborations. Notably, Amber entered into a manufacturing agreement with Oppo Mobiles India to locally produce smartphones for Oppo, OnePlus, and Realme, with trial production slated for early 2027. The company is also proactively managing supply chain hurdles in its bare printed circuit board business caused by rising copper-clad laminate (CCL) prices, with strategic plans to establish its own CCL manufacturing plant by 2029–2030.
During the financial year 2025–2026, Amber Enterprises recorded a robust financial performance, registering massive annual turnover figures for IL JIN and strong consolidated figures at the parent level. For instance, IL JIN reported a turnover of ₹2,25,463.97 lakhs for FY 2025–2026, scaling up from ₹1,87,355.50 lakhs in FY 2024–2025 and ₹91,336.67 lakhs in FY 2023–2024. At the group level, institutional investors and prominent mutual fund houses—such as Motilal Oswal and Canara Robeco schemes—held substantial stakes in Amber Enterprises throughout 2025 to capitalize on its expanding electronics manufacturing ecosystem.
