Restaurant Brands Asia Limited (RBA) has formally announced the completion of its acquisition by Inspira Global, which has now assumed control of the company. This transaction was executed through Inspira Global’s food and beverage platform, Lenexis Foodworks Private Limited, following the successful conclusion of a mandatory open offer and the receipt of all requisite regulatory approvals. As part of this significant corporate transition, the board of directors has undergone restructuring, including the resignation of three non-executive non-independent directors—Mr. Amit Manocha, Ms. Roshini Bakshi, and Mr. Ajay Kaul—and the appointment of Mr. Madhusudan Bhagwandas Agrawal as the new Chairman, along with Mr. Aayush Madhusudan Agrawal as a non-executive director.
The acquisition, valued at approximately INR 2,235 crore, marks one of the largest control transactions in India’s quick-service restaurant (QSR) sector. Following the transaction, Inspira Global holds a 41.78% stake in the company, which is expected to increase to 48.04% upon the exercise of warrants and an additional infusion of INR 450 crore. Despite the change in ownership, the company has clarified that its existing franchise arrangements with Restaurant Brands International to operate Burger King in India and Indonesia, as well as Popeyes in Indonesia, remain unaffected and are secured until 2050.
Restaurant Brands Asia Limited is a prominent QSR operator primarily recognized for being the exclusive master franchisee for the Burger King brand in India and Indonesia, and for managing Popeyes in Indonesia. The company has been aggressively expanding its store network, utilizing a cluster-based development strategy to reach urban demographics. Recent updates indicate a strong operational performance in the Indian market, where the company saw a 15.4% revenue increase to INR 2,272 crore in FY26 and achieved a notable 6.3% same-store sales growth in the fourth quarter, the highest in twelve quarters. The leadership team has emphasized that the new ownership aims to provide “patient capital” and disciplined governance to accelerate the next phase of growth.
In its FY26 financial results, the company reported consolidated revenue of INR 2,823 crore, representing a 10.7% year-on-year increase. Profitability has shown signs of improvement, with the consolidated net loss narrowing to INR 129 crore in FY26, compared to a loss of approximately INR 277 crore in the previous year. While the notice did not explicitly detail a famous individual investor, the acquisition by Inspira Global, which is backed by the promoters of Ajanta Pharma, highlights significant institutional and strategic interest in the firm.
