Lux Industries Limited has officially announced the incorporation of a new wholly owned subsidiary named “Lux Global Limited” in West Bengal, India. The company received the Certificate of Incorporation for this new entity on May 18, 2026. This development follows the company’s previous intimation regarding corporate restructuring and organizational planning dated April 23, 2026.

The incorporation was undertaken pursuant to a Family Settlement Agreement entered into among the members of the promoter and promoter group from the Todi Family. This strategic move is designed to facilitate the proposed demerger of the company’s “Vertical C” business. The subsidiary, Lux Global Limited, has been established with a share capital of ₹5,00,000, divided into 2,50,000 equity shares with a face value of ₹2 each. As it has yet to commence business operations, its turnover and size are not currently applicable.

Lux Industries Limited, established in 1995 with roots dating back to 1957, is a prominent player in the Indian hosiery and innerwear sector. The company maintains a strong market presence with a diverse portfolio of brands such as Lux Cozi, ONN, Lyra, and Lux Venus. It operates nine manufacturing facilities across India and boasts an extensive distribution network, exporting products to over 46 countries. In late 2025 and early 2026, the company has been focused on significant internal restructuring, including a demerger plan to trifurcate its business verticals to streamline management and ownership among different branches of the promoter family.

For the quarter ended December 2025, Lux Industries reported revenue of ₹679.13 Crore and a net profit of ₹12.91 Crore. This marked a significant decline in profitability compared to the previous year, with net profit falling by 59.73% year-on-year. Famous investors associated with the company include the Life Insurance Corporation of India (LIC), which held a 4.74% stake as of December 30, 2025, and Hollyfield Traders Pvt. Ltd., which held a 6.18% stake as of the same date.
