Zodiac Energy Limited announced under Regulation 30 of SEBI (LODR) Regulations, 2015, that it has acquired a 98% major ownership stake in eight separate Limited Liability Partnerships (LLPs) through direct capital contributions, making them subsidiaries of the company. These entities include Girdhari Solar Projects LLP, Parvati Solar Projects LLP, Indranuj Solar Projects LLP, Ridhika Solar Projects LLP, Maatangi Solar Projects LLP, Krishnapriya Solar Projects LLP, Narayani Solar Projects LLP, and Sumitra Solar Projects LLP. The total acquisition cost for each LLP was Rs. 19,600, representing a 98% share of their respective Rs. 20,000 total capital.
The acquired LLPs are primarily set up to develop solar power plants, generate electricity through solar energy, and sell solar power. Incorporated between November 2020 and January 2021, all eight LLPs have reported a nil turnover for the last three financial years, including FY 2025-26. This strategic move represents a related party transaction conducted on an arm’s length basis, as promoters hold interests in the target entities. The acquisitions require no external governmental or regulatory approvals and were completed using cash consideration.
