The Board of Directors of Rubfila International Limited, at its meeting held on August 20, 2026, considered and approved the divestment of the company’s entire shareholding in its wholly owned subsidiary, Premier Tissues (India) Limited (PTIL), to M/s. Finquest Personal Care Pvt. Ltd. for an aggregate cash consideration of ₹61.00 crore. This strategic decision aims to allow the company to preserve and deploy its financial resources more effectively toward its core rubber-thread business. The transaction is structured on an “as is where is” basis, requiring no further due diligence, and is subject to necessary shareholder and statutory approvals. During the previous financial year ended March 31, 2026, PTIL contributed a turnover of ₹95.74 crore (representing 15.68% of the company’s consolidated revenue) and a net worth of ₹51.49 crore. The proposed purchaser is associated with Mr. Hardik Patel, Chairman and member of the promoter group, who properly recused himself from the board deliberations. The transaction documents are anticipated to be executed on or before September 10, 2026, with the final payment slated within 30 days of receiving the requisite approvals.
