Brief of Notice Bikaji Foods International Limited has announced a significant step in its strategic expansion by completing an additional acquisition of an 8.59% stake in Hazelnut Factory Food Products Private Limited (“THF”). This transaction was executed through its wholly-owned subsidiary, Bikaji Foods Retail Limited (BFRL). This acquisition follows the company’s previous investments, reinforcing its commitment to scaling its presence in the premium food and beverage segment.

Detail About the Notice The acquisition of the 8.59% stake in THF was completed on March 26, 2026, for a cash consideration of approximately ₹39.99 crore. This move has increased Bikaji’s total stake in the fast-growing food and beverage brand to 48.99%, with the total investment in the entity now reaching nearly ₹101 crore. Hazelnut Factory, which operates primarily in Uttar Pradesh and Delhi, is known for its diverse range of products, including bakery items, artisanal sweets, and café offerings. This strategic investment aligns with Bikaji’s “house-of-brands” approach and its goal to expand its footprint in the Quick Service Restaurant (QSR) sector.

Company Business, Recent News, and Updates Bikaji Foods International Limited is India’s third-largest ethnic snacks company and the second fastest-growing player in the organized snacks market. Its extensive product portfolio includes Bikaneri bhujia, namkeen, packaged sweets, papad, and western snacks. In recent updates from 2025 and early 2026, the company successfully completed the 100% acquisition of Petunt Food Processors Private Limited for ₹8 crore to consolidate its operations in the southern territory. Additionally, Bikaji has been expanding its global footprint, recently investing $250,000 in its US subsidiary to strengthen its distribution network in North America. The company also launched a new brand logo in late 2025 to modernize its identity as it continues to add approximately 50,000 retail outlets annually.

This growth was primarily driven by strong momentum in the ethnic snacks segment and a significant 39.1% increase in export demand. Notably, the company’s retail business nearly doubled its revenue during this period. In terms of shareholding, the company maintains a strong promoter holding of 73.92%, with significant institutional interest from famous investors such as Quant Mutual Fund (Small Cap Fund), which holds a 3.66% stake, and HDFC Life Insurance Company Limited.
